Terms of Service

Welcome to Joinery Core. These Terms of Service ("Terms") govern your use of the Joinery Core software application and services ("Service") operated by Skylon Development LTD ("Company", "we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Description of Service

Joinery Core is a cloud-based Enterprise Resource Planning (ERP) system designed for joinery, carpentry, and woodworking businesses. The Service includes:

Project management and scheduling
Production planning (Gantt charts)
Team and resource management
Materials and inventory tracking
Financial reporting and accounting tools
Document and file storage

2. Account Registration

To use the Service, you must:

Register for an account with accurate and complete information
Be at least 18 years of age
Be authorised to act on behalf of your business (if applicable)
Maintain the security of your account credentials

You are responsible for all activities that occur under your account.

3. Subscription Plans and Payment

3.1 Available Plans

Subscription plans and pricing are currently being finalised. Details will be published before the end of the trial period.

3.2 Payment Terms

Subscriptions are billed monthly in advance
Payment is due on the same date each month
All prices are in British Pounds (GBP) and exclude VAT where applicable
We accept major credit cards and direct debit

3.3 Refund Policy

Subscription fees are non-refundable. If you cancel your subscription, you will continue to have access until the end of your current billing period. No partial refunds are provided for unused time.

4. Data and Storage

4.1 Your Data

You retain all rights to the data you upload to the Service. By using the Service, you grant us a limited licence to store, process, and display your data solely for the purpose of providing the Service.

4.2 Data Backup

Backups are performed once daily. In the event of data loss or system failure, we can restore data from the most recent backup. This means data entered within the last 48 hours may not be recoverable. We strongly recommend maintaining your own records of critical information.

4.3 Data Export

You may export your data at any time through the Settings page. Exported data will be provided in JSON or CSV format.

4.4 Data Deletion

You may request deletion of your account and all associated data at any time. Upon deletion:

Your account will be immediately deactivated
All your data will be permanently deleted within 30 days
Backup copies will be purged within 30 days
This action is irreversible

5. Service Availability

5.1 Uptime

We strive to maintain high availability of the Service. However, the Service is provided "as is" and we do not guarantee uninterrupted access.

5.2 Scheduled Maintenance

We may perform scheduled maintenance that temporarily affects Service availability. We will endeavour to provide advance notice of planned maintenance.

5.3 Unplanned Outages

In the event of unplanned service disruption, we will work to restore the Service as quickly as possible. We are not liable for any losses incurred during service outages lasting up to 72 hours.

6. Financial Data Disclaimer

Important: The financial reporting features of the Service (including but not limited to accounting summaries, project costs, labour calculations, profit margins, and any monetary figures displayed) are provided for internal reference and operational overview purposes only.

You acknowledge and agree that:

Financial data displayed in the Service is not intended for tax filing, official accounting, or legal purposes
The accuracy of financial calculations depends entirely on the data entered by you and your users
We do not verify, audit, or guarantee the accuracy of any financial information
You are solely responsible for maintaining accurate records for tax and accounting purposes
You should consult a qualified accountant or financial advisor for all official financial matters
We are not liable for any financial losses, tax penalties, or legal consequences resulting from reliance on data displayed in the Service

The Service is a project management and operational tool, not a certified accounting system.

7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorised access to any part of the Service
Interfere with or disrupt the Service or servers
Upload malicious code or content
Share your account credentials with third parties
Resell or redistribute the Service without authorisation

8. Limitation of Liability

Important: To the maximum extent permitted by law:

We are not liable for any indirect, incidental, special, consequential, or punitive damages
We are not liable for any loss of data, profits, or business opportunities
Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
We are not responsible for data loss caused by user error or account deletion initiated by the user

9. Indemnification

You agree to indemnify and hold harmless Skylon Development LTD, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

10. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Skylon Development LTD and is protected by international copyright, trademark, and other intellectual property laws.

11. Termination

11.1 Termination by You

You may cancel your subscription at any time through your account settings. Your access will continue until the end of the current billing period.

11.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if:

You breach these Terms
Payment is not received within 14 days of the due date
We are required to do so by law

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
